TERMS AND CONDITIONS FOR FOOD & BEVERAGE BUSINESS PARTNERS
飲食業務合作夥伴的條款及條件
Welcome to our Food & Beverage Business partner program operated by AD.ME (HONG KONG) LIMITED ("we", "us", "our", or “Company”). These terms and conditions (the "Terms and Conditions") are supplement to the business partnership agreement entered into between us and you (the “Agreement”) and govern your participation in our program and set out the terms and conditions of our relationship with you. By signing up to become a Food & Beverage Business partner, you agree to be bound by these Terms and Conditions.
歡迎參加我們由 AD.ME (香港) 有限公司 (以下簡稱「我們」、「我們的」或「公司」) 經營的飲食業務合作夥伴計劃。本條款及條件(以下簡稱「條款及條件」)是我們與您之間的業務合作協議(以下簡稱「協議」)的補充,並規範您參與我們計劃的行為以及闡述了我們與您之間的合作關係的的條款與條件。通過註冊成為飲食業務合作夥伴,您同意受本條款及條件約束。
1. Relationship 關係
1.1. You are an independent contractor and not an employee, agent or partner of our company.
您是獨立承包商,而非我們公司的員工、代理或夥伴。
1.2. You will be solely responsible for your business operations and will comply with all applicable laws and regulations.
您將獨自負責您的業務運營,並遵守所有適用的法律法規。
2. Services 服務
2.1. We provide an online platform that may allow customers to search, review, and pay, among other things, at Food & Beverage Businesses that are listed on our platform.
我們提供一個在線平台,允許客戶在該平台上列出的飲食業務中搜索、評論和支付等。
2.2. As a Food & Beverage Business partner, you agree to provide us with accurate and up-to-date information about your Food & Beverage Business, including its name, address, hours of operation, menu and pricing information, among other things. You are solely responsible for the content posted on your account and agree not to upload or publish any material that is unlawful, threatening, defamatory, obscene, or infringes on any intellectual property rights.
作為飲食業務合作夥伴,您同意向我們提供有關您飲食業務的準確和最新信息,包括其名稱、地址、營業時間、菜單和價格信息等。您 對您的帳戶上發佈的內容負全部責任,並同意不上傳或發佈任何非法、具威脅性、誹謗、淫穢或侵犯任何知識產權的材料。
2.3. You agree to honor all reservations made through our platform.
您同意履行透過我們平台進行的所有預訂。
2.4. You are responsible for ensuring that your Food & Beverage Business is in compliance with all applicable laws and regulations, including health and safety standards.
您有責任確保您的飲食業務符合所有適用的法律法規,包括健康與安全標準。
2.5 You acknowledge that we have the absolute right to remove any contents provided by you or suspend/terminate your account if we determine any of your acts are inappropriate, fraudulent, or which otherwise violate our terms and conditions.
您同意,如果我們確定您的任何行為不當、欺詐或違反我們的條款及條件,我們有絕對權
利刪除由您提供的任何內容或暫停/終止您的帳戶。
3. Promotions and Discounts 促銷和折扣
3.1. As a Food & Beverage Business partner, you may offer promotions or discounts to our users. You are responsible for setting the terms and conditions of any such promotions or discounts, and you agree to honor all valid promotions and discounts as advertised.
作為飲食業務合作夥伴,您可以向我們的用戶提供促銷或折扣。您有責任設定任何此類促銷或折扣的條款及條件,並同意遵守所有有效 的促銷和折扣,如所宣傳的一樣。
3.2. You agree not to engage in any fraudulent or misleading practices in connection with promotions or discounts.
您同意不在促銷或折扣方面從事任何欺詐或誤導性的行為。
4. Reviews and Ratings 評論和評分
4.1. Customers who pay through our platform will have the opportunity to leave a review and rating of their dining experience.
通過我們平台支付的客戶將有機會留下他們的用餐體驗評論和評分。
4.2. You acknowledge that reviews and ratings are an important part of our platform and agree to cooperate with us in addressing any negative reviews or ratings.
您同意評論和評分是我們平台的重要組成部分,並同意與我們合作處理任何負面評論或評分。
4.3 You understand that such reviews and ratings are made by customers merely as their personal opinions, and that we are not obligated to delete or edit any such reviews or ratings from or in our platform or marketing materials, nor will we be held liable to you for any of such reviews or ratings.
您了解此類評論和評分僅代表客戶的個人意見,不論在我們的平台或行銷材料中,我們均無義務刪除或編輯任何此類評論或評分,而我們 也不對此承擔對您的任何責任。
5. Governing Law and Jurisdiction 法律和司法管轄權
5.1. These Terms and Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the laws of Hong Kong.
本條款及條件及由此產生的或與之有關的任何爭議或索賠(包括非合同性的爭議或索賠)將受香港法律管轄,並按照其解釋。
5.2. Each party irrevocably agrees that the courts of Hong Kong shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
雙方不可撤銷地同意香港法院具有解決本協議或其主題或成立(包括非合同性的爭議或索賠)的專屬司法管轄權。
6. Modifications 修訂
6.1. We reserve the right to modify or amend these Terms and Conditions at any time.
我們保留隨時修改或修訂本條款及條件的權利。
6.2. Any modifications or amendments will be communicated to you in writing pursuant to the requirements of the Agreement.
任何修改或修訂將根據協議的要求以書面形式通知您。
6.3. Your continued participation in our program after the effective date of such modifications or amendments will constitute your acceptance of the revised terms and conditions.
在修改或修訂生效日期後,如您繼續參與我們計劃將被視為您接受修訂後的條款及條件。
7. Privacy Policy 隱私政策
7.1 You acknowledge and agree to be bound by our Privacy Policy, which may be modified or amended from time to time.
您確認並同意受我們的隱私政策約束,該政策可能會不時進行修改或修訂。
7.2 You undertake that, in the collection, processing and/or use of any personal data obtained through us, you shall comply with the provisions of all applicable laws and regulations (including but not limited to the Personal Data (Privacy) Ordinance (Cap. 486)) and the relevant privacy rules and policies provided from time to time by us to you. You shall (1) take appropriate measures to protect such personal data from unauthorised or accidental access, processing, deletion, loss or use; (2) use such personal data only for providing goods/services to your customers; (3) ensure that the storage period of such personal data is no longer than the period required for achieving the purpose above; (4) maintain the accuracy and completeness of such personal data; and (5) access and store such personal data only through our platform.
您承諾,在透過我們獲取任何個人數據的收集、處理和/或使用中,您將遵守所有適用的法律法規(包括但不限於《個人資料(私隱)條例》 (第 486 章))以及我們不時提供給您的相關隱私規則和政策。您應(1)採取適當措施保護此類個人數據免受未經授權或
意外登入、處理、刪除、丟失或使用;(2)僅用於向您的客戶提供商品/服務;(3)確保此類個人數據的存儲期限不超過實現上述目的所需 的期限;(4)維護此類個人數據的準確性和完整性;及(5)僅通過我們的平台設備登入和存儲此類個人數據。

9. Language 語言
These Terms and Conditions are made in both English and Chinese. In the event of ambiguity or inconsistency between the two versions, the English version shall prevail.
